Greetz acquired by Photobox Group

Photobox Group, Europe’s leading personalisation business, has acquired Dutch online cards and gifting retailer Greetz. The acquisition makes Photobox Group the European market leader in online greetings cards and personal gifting through the Greetz and Moonpig brands. We advised the selling shareholders, including Prime Ventures, on this exit transaction.

Siemens acquires Mendix

Siemens acquired Mendix, a leader in low-code application development, for €600 million in cash. We advised Prime Ventures on this successful exit. Previously, we advised on the Series A and B Round led by Prime Ventures respective Battery Ventures.

Philips Buys Interoperability Provider Forcare

We advised the selling shareholders, including the leading Dutch venture capital firm Prime Ventures, on the sale of Forcare to Royal Philips. Forcare, founded in 2006, is a leading innovator in open-standards based interoperability software solutions for fast and flawless data flows between medical systems and information sources at the departmental and enterprise levels, as well as Health Information Exchanges across health systems.

NPM Invests in Ultimaker

We advised NPM Capital in connection with the acquisition of a majority shareholding in Ultimaker, global leader in desktop 3D printing. NPM Capital’s investment will allow Ultimaker to accelerate product development and invest in additional sales, marketing and R&D resources, which will help Ultimaker to expand on their global market position.

KLA-Tencor, SET Ventures, Munich Venture Partners and PMV invest in Luxexcel

We advised Luxexcel and its existing investors SET Ventures, Munich Venture Partners and Flemish regional investment fund PMV in their follow-on investment in Luxexcel, the only company in the world which can 3D print lenses. The financing round for an aggregate amount of up to US$10 million, was led by USA based KLA-Tencor Corporation, which participated in this round both financially as well as through in-kind industrial cooperation with Luxexcel.

Standard Investment en Foreman Capital acquire Bosal-Sekura Industries

We advised Standard Investment and Foreman Capital on the acquisition of Bosal-Sekura Industries A/S from the BOSAL Group. The company, which continues as Sekura Cabins A/S, is the European market leader in top-quality space frame cabs for construction/mining, forestry, agricultural and industrial vehicles. The company’s production facility and headquarters are located in Randers, Denmark. Sekura Cabins offers employment to around 130 people and has a turnover of approximately 230 million Danish crowns (over 31 million Euro).

NPM Capital invests in online supermarket Picnic

We advised NPM Capital on its investment in Picnic, an online supermarket operating in Dutch cities including Utrecht, Amersfoort and Almere. It recently announced that it will soon also begin serving Delft, Leidschendam, Voorburg, Nootdorp, Ede and Veenendaal. Picnic has grown at an explosive pace since it was launched eighteen months ago. Picnic is receiving 100 million euros of additional capital from four Dutch private equity firms. In addition to NPM Capital, private equity firms De Hoge Dennen, Hoyberg and Finci are participating in the investment. The joint investment will enable Picnic to realize its ambitious growth plans.

SET Ventures and henQ invest in Energyworx

We advised the parties involved with the investment by SET Ventures and henQ in Energyworx. Energyworx develops a SaaS-based platform for energy data management and energy intelligence solutions that help utility companies navigate and monetize the energy transition.

Kudelski Group acquires NexGuard Labs from Civolution

We advised Civolution, the leading provider of technology and solutions for identifying, managing and monetizing content, on the sale of NexGuard Labs to Kudelski, who acquired 100% of all outstanding shares in the capital of NexGuard Labs BV. NexGuard Labs is a leader in digital content watermarking solutions. This transaction is the third and final successful exit of a Civolution business unit.

Previously, we advised Civolution on the sale of its Teletrax business to 4C Insights Inc., a data science software company that is powering the future of advertising. Teletrax provides the world’s most advanced and accurate solution for real-time television analytics and cross-screen synchronized marketing campaigns. 4C is backed by Jump Capital based in Chicago (USA). *

We also advised Civolution on the sale of its audio watermarking unit to Kantar Media (WPP), a world leader in audience measurement. Civolution’s audio watermarking technology is recognized as world leading and is deployed in hundreds of TV channels worldwide for the purpose of audience measurement and second screen synchronization. *

Standard Investment acquires Micro Machining Group

We advised Standard Investment in the acquisition, together with management, of Micro Machining Group (MMG) from Aalberts Industries. MMG is a manufacturer of high-precision components to a wide range of customers and industries, including the defense, aerospace, medical and semiconductor industry. MMG is able to carry out milling and grinding operations with tolerances of a few thousandths of a millimeter. The specialization of MMG is in making small products with a size of a few millimeters to about 75 centimeters. Products are made from high quality metal, including titanium and specialty steel alloys.
