Synopsys, Inc. (Nasdaq: SNPS) has acquired Intrinsic ID, a leading provider of Physical Unclonable Function (PUF) IP used in the design of system-on-chips (SoCs). Intrinsic ID is a spin-out of Royal Philips Electronics. We advised the company and its selling shareholders including Prime Ventures and Robert Bosch Venture Capital.

MoonPay Joins Forces with Onramper

We advised Onramper on their strategic transaction with industry leader MoonPay which will democratize access to cryptocurrencies worldwide. Onramper is a leading fiat-to-crypto payments aggregator. The collaboration is set to offer MoonPay’s clients a comprehensive solution to optimize conversion rates across various regions.

Sale Sooqr to Spotler Group

Spotler Group, a company that has invested in building and developing a portfolio of leading digital marketing and communications technologies that simplify the complexity of multi-channel marketing, sales and customer service, has acquired Sooqr, a company that has an all-in-one conversion suite of tools for site search, recommendations and merchandising. By joining the Spotler Group, Sooqr will further enhance the personalised eCommerce capabilities of Squeezely, another company that Spotler Group bought in 2021. By bringing together Sooqr and Squeezely’s capabilities, the Spotler Group aims to create an emerging all-in-one Customer Data Experience Platform (CDXP). This will enable retailers to leverage insight into customer behaviour, preferences and buying patterns to personalise the end-to-end shopping experience and improve customer engagement, conversion rates and revenue, all in the same platform. Olym advised the selling shareholders on this transaction.

Sale of Quantib to RadNet Inc.

We advised the former shareholders of Quantib, including Holland Capital, InnovationQuarter and Erasmus Medical Centre, in the sale of shares in Quantib to RadNet, Inc. (NASDAQ: RDNT), a US leader in providing high-quality diagnostic imaging services through a network of 350 owned and operated outpatient imaging centers. Quantib is a leading radiology artificial intelligence (“AI”) company focusing on clinical solutions for prostate cancer, breast cancer and neurodegeneration.

Standard Investment sells Synres to COIM

Standard Investment sold Synres (producer of synthetic resins for coatings/paints) to the Italian chemical group COIM. In 2015, Standard Investment together with management acquired Synres from DSM. In six years, volumes have grown by more than 60% and an extensive transformation program has been implemented. COIM is an international producer of speciality chemicals with head office in Milan, Italy. The acquisition is aimed on one hand at enhancing the existing production and expertise of Synres in the field of resins and, on the other hand, at creating added value for both shareholders and employees. Olym acted for Standard Investment in this transaction.

Flatfield sold to NCAB Group

We advised Standard Investment and the other shareholders of Flatfield with the sale of the shares in Flatfield to NCAB Group. Flatfield is de largest Dutch supplier of Printed Circuit Boards (PCBs). NCAB Group is one of the world’s largest suppliers of PCBs, with headquarter in Sweden and listed at NASDAQ Stockholm. NCAB Group strengthens its position in the Benelux and Germany with the acquisition of Flatfield.

Standard Investment acquires 50% interest in Hollandia

We advised Standard Investment on acquiring a 50% interest in Hollandia Structures, Hollandia Infra, Hollandia Services, Everest Industriële Montage and Hollandia UK. Hollandia is one of the leading parties in the field of steel and mechanical engineering in the segments of infrastructure, maintenance, petrochemical, high-rise buildings and utility construction. The business units are transferred to a new holding company called Hollandia Orange, in which Hollandia Holding and Standard Investment each have a 50% interest. The company has its headquarters in Krimpen aan den IJssel and branches in Heijningen, Fijnaart and London (UK). The Hollandia Orange companies achieved a turnover of approximately EUR 100 million in 2018 with a pre-tax result of approximately EUR 6.5 million. The company employs around 300 people.

Standard Investment en Foreman Capital acquire Bosal-Sekura Industries

We advised Standard Investment and Foreman Capital on the acquisition of Bosal-Sekura Industries A/S from the BOSAL Group. The company, which continues as Sekura Cabins A/S, is the European market leader in top-quality space frame cabs for construction/mining, forestry, agricultural and industrial vehicles. The company’s production facility and headquarters are located in Randers, Denmark. Sekura Cabins offers employment to around 130 people and has a turnover of approximately 230 million Danish crowns (over 31 million Euro).

Acquisition PB Bake-off by Dutch Bakery

We advised Dutch Bakery, a portfolio company of Standard Investment, on the acquisition of PB Bake-off. The company, incorporated in 1991, is one of the leading producers of Viennoiserie (luxury sweet pastry), croissants and cheese stems in the Netherlands and will be integrated into Dutch Bakery. The acquisition fits perfectly with Dutch Bakery’s strategy, among other things because Dutch Bakery will have access to significant additional production capacity. For example, PB Bake-off has a state-of-the-art croissant line with a capacity of 140 million croissants per year and the company has a very large freezer facility. This will further facilitate the rapid growth of Dutch Bakery. The transaction also offers good opportunities for widening the Dutch Bakery assortment and increasing the sales market for PB Bake-off.

Acquisition Tjendrawasih by Dutch Bakery

We advised Dutch Bakery, a portfolio company of Standard Investment, on the acquisition of Tjendrawasih. The Alkmaar-based Tjendrawasih is active in the production of oriental snacks and stocked convenience bread snacks, including bapao, pita, gua bao and open-top bread snacks. The acquisition of Tjendrawasih fits into the strategy of Dutch Bakery, which in recent years through acquisitions and organic growth has become the market leader in home bake-off bread in the Netherlands. With bakeries in Waalwijk, Tilburg and Eindhoven, Dutch Bakery produces nearly a billion rolls, including kaiser rolls, croissants, baguettes and sausage rolls. Dutch Bakery, which employs 400 people, sells its products in the Netherlands and abroad to large supermarket organizations.
